The Company was organized on the 20th day of December 1915, under the laws of the State of New York, with an authorized capitalization of $5,000,000 consisting of 100,000 shares of common stock of the par value of $50 per share. The duration of the charter is perpetual. The Company is engaged, in accordance with its Articles of Incorporation, in the manufacture of automobile casings and tubes.
