12.29.04 - Oracle says it has taken control of its rival PeopleSoft, ending an 18-month hostile takeover battle. As of Oracle's deadline of midnight earlier today, PeopleSoft (nasdaq: PSFT - news - people ) stockholders tendered about 75% of the company's outstanding shares. Earlier this month, PeopleSoft agreed to a $10.3 billion buyout by Oracle (nasdaq: ORCL - news - people ), creating the world's second-largest business applications software maker. The deal is expected to close next month. Oracle named four representatives to PeopleSoft's board, giving it majority representation and replacing those who resigned, including PeopleSoft founder Dave Duffield, who stepped down as chief executive, chairman and director.
PeopleSoft had a history of innovating at technology shifts and bringing the benefits to customers' desktops. It started in the mid-1980s when company founders Dave Duffield and Ken Morris built our first human resources application on a client-server platform instead of the traditional mainframe, adding needed flexibility and putting more power into the hands of users.
