Beautiful certificate from the i-Incubator.com, Inc. issued in 2002. This historic document was printed by the Columbia Financial Printing Company and has an ornate border around it with an underprint of an eagle. This item has the printed signatures of the Company's President, Jamee Freeman (Became Jamee Kalimi] and Secretary. DESCRIPTION OF BUSINESS from SEC filing: I-INCUBATOR.COM, INC. ("I-Incubator") was incorporated under the name Master Communications Corp. in the State of Florida on May 8, 1997 to engage in any lawful corporate undertaking, including, but not limited to, selected mergers and acquisitions. The Company has been in the developmental stage since inception has been an internet incubator and holding company for its Subsidiaries. The Company will attempt to locate and negotiate with a business entity for the combination of that target company with the Company. The combination will normally take the form of a merger, stock-for-stock exchange or stock-for-assets exchange. No assurances can be given that we will be successful in locating or negotiating with any target company.
Company Press Realease--Dec. 6, 1999 Master Communications, Inc. (OTC BB: MASC) has changed its name to i-Incubator.com, Inc., effective November 24, 1999 and will reformat its business as an internet incubator. The company also announced a 3-1 forward common stock split which was effective November 22, 1999 and distributed on November 26, 1999. The company also announced its ticker symbol will change to INQU, effective December 7. This is to better reflect the company's direction in order to capitalize on the continued growth of the internet and e-commerce. i-Incubator.com has also purchased the URL address www.i-Incubator.com. "This is a new beginning for the company, and we intend to become a leading internet incubator, including venture capital, to developing technologies and innovative ideas using the internet," said Jamee Freeman, President of i-Incubator.com. "We believe the surface of the internet revolution has just been scratched, giving way to new business models based on new technologies and creative thinking. i-Incubator.com plans to play a part in the continued development of the internet." i-Incubator.com will identify market segments and business models ripe for greater growth. Similar in structure to other incubators, such as CMGI (NASDAQ: CMGI), Internet capital Group (NASDAQ: ICGE) and Idea Labs, it will provide venture capital, technical expertise and marketing assistance to development stage companies. The company focused on early-stage Internet ventures, both B-to-B and B-to-C. Involved with WealthHound.com and OnlineFood.com. Dot com incubators typically provide officed space, business guidance, referrals to professional services and sometimes investor cash. In return, companies getting a start in these organizations pay monthly fees and gave the incubator an equity stake. These type of companies help fuel the dot com bubble. As with the offspring, many of the incubator's didn't survive as is the case with i-Incubator.com. On May 16, 2002 Jamee Kalimi resigned as an officer and director of the Company.
